		<description>Thanks for your queries about the company picking up the costs of a shareholders' agreement.  I am not an accountant and therefore my views on this point are non-expert but my thoughts are (a) I don't see any reason why not (b) yes and (c) not necessarily.

It will depend on the nature of the shareholders agreement itself.  If it is an agreement solely between the shareholders governing their shareholding relationship outside of the company then it is unlikely that it will be seen as a legitimate expense of the company and it is more likely to be seen as a benefit in kind if the cost is picked up by the company.  The position is different if the agreement covers management of the company and the company is a formal party to the agreement (which is often the case).  In those circumstances it is much easier to justify the company bearing all or a major part of the cost.
