Thanks for your query. The answer to your question will very much depend on the specific facts of the case. Particularly on "who said what, when" If you would like to have a quick chat about the case then please give me a ring.

What happens when the majority shareholder overvalues his company by some arbitary means and on this basis the naive minority shareholder was persuaded to hand over a substantial sum, probably as much as the company was really worth for a minority shareholding that does not give any entitlement to dividends or anything else but with the promise that the shares would be bought back at the original value at some future date to be determined by the majority shareholder. On the death of the minority shareholder and the transfer of shares to the inheritor the majority shareholder now says there was no agreement of any sort in place and in any case considered it a gift. The company's accountants are saying the shares are worthless less than 18 months later.

Companies Shareholders’ Rights Regulations 2009 are in place but do they work? Although questions had been submitted in advance before the meeting started for the BT AGM 2011,to allow a timely meeting and because some early questions and answers had been allowed to be slow, it was decided that those in the queue on the Report and Accounts section would not be answered. They could have been read out and answered by the Board quickly without debate. Not a good way when they are dealt with outside the meeting or not at all as the tranparency and accountability disappear. It makes shareholders nervous. Are all the Boards doing this and if so why aren't they handling questions more quickly and allowing more time?

Don't disagree with that article at all. The aim of any genuine CR programme, whether in a law firm or otherwise, is to encourage people to give something back. Ideally, this should be using people's real skills rather than supplying unskilled labour.
